柏瑞凱電子沖刺科創板:擬募資3.6億 汪斌華夫婦為大股東

深圳市柏瑞凱電子科技股份有限公司(簡稱:“柏瑞凱電子”)日前遞交招股書,准備在科創板上市。

柏瑞凱電子計劃募資3.6億,其中,3.11億用於固態鋁電容器生產基地二期建設項目,5013萬用於導電高分子固態鋁電容器研發中心建設項目。
年營收1.82億
柏瑞凱電子是一家專注於固態鋁電容器的研發、生產和銷售的企業。
柏瑞凱電子聚焦於固態鋁電容器基礎技術和基礎工藝研究,形成較為全面的材料配方、制造工藝、結構設計、設備工裝、測試評價等系統化的技術體系。截至目前,公司已具備先進的技術水平和制造能力,形成了完善的研發、生產和質量管理體系,可以很好地滿足客戶多樣化的產品需求。
國內固態鋁電容器早期主要依靠日系進口,近10年在消費電子部分領域已逐漸實現進口替代,柏瑞凱電子是華為、小米、OPPO、VIVO、三星等品牌手機快充產品OEM廠商的主要供應商之一。

招股書顯示,柏瑞凱電子2019年、2020年、2021年營收分別為1.2億元、1.35億、1.82億;淨利分別為3007萬、3598萬元、4710萬元。
汪斌華夫婦為實控人
柏瑞凱電子的實際控制人為汪斌華及其妻子董文蕙。
IPO前,汪斌華直接持股為11.86%,為公司控股股東,另外,汪斌華通過持有柏瑞凱投資39.64%合夥份額,擔任其執行事務合夥人,進而控制公司8.13%的錶决權;通過持有新餘柏瑞凱61.32%合夥份額,擔任其執行事務合夥人,進而控制公司7.09%錶决權;汪斌華合計控制公司27.09%的錶决權。

董文蕙直接持有4.84%股權,並通過新餘寶瑞高53.73%的合夥份額,擔任其事務合夥人,控制公司0.81%錶决權,董文蕙合計直接和間接控制公司32.74%錶决權。董文蕙在華南理工大學擔任副教授,未在公司任職。
此外,鄧正清持股為9.67%,富海新材持股為8.13%,發展基金持股為6.27%,贛州戰興持股為5.31%,蘇州汾湖持股為4.44%,海納眾富持股為4.07%,寧波龍鑫持股為3.82%。

IPO後,汪斌華持股為8.9%,鄧正清持股為7.25%,富海新材、柏瑞凱投資分別持股為6.1%,新餘柏瑞凱持股為5.32%。
